I am sorry because I should have asked this question before Year 2013.

Ignoring the confusion about the film and the need to ask this before 2013, the answer is no. There is no necessity for a company owner (or director) to make a power of attorney when they travel, either in the same or to another country. --Tagishsimon (talk)
FWIW, the question does relate to the film. It is neither necessary nor common for a company owner to give a power of attorney before traveling. However, this might be done under some circumstances. For example, if the company were a sole proprietorship and needed to purchase or sell real estate during the owner's absence, the owner might give someone a power of attorney for this purpose. Since I thought that Madan needs a Code to Take over Vishwanath's business, I thought that Viswanath is the Only Person with the Code.

A power of attorney can be drafted to give either extremely broad or quite limited powers. A sufficiently broad power of attorney could give the attorney-in-fact the power to take over a business, although the attorney-in-fact could be subject to liability if he or she acted improperly. Party of Five - Seasons 1 & 2 in Region 2 edit
